I'm runing the VMWare 6.5 beta on a 64-bit Vista ultimate host and have several 32-bit XP guests. Am I correct in assuming that I should put the 64 bit version of UltraMon on the host and the 32 bit version on each guest?

That is correct, you would get an error message if you're trying to install the wrong version.
